These Terms of Service ("Terms" or "Agreement") constitute a legally binding contract under the Indian Contract Act, 1872 between you ("Customer," "User," or "you") and Assurd Techlabs (OPC) Private Limited ("Assurd," "Company," "we," "our," or "us"). By accessing our website, scheduling a laboratory intake, using the Assurd Public Registry, or interacting with any digital surface operated by Assurd, you unconditionally accept these Terms in their entirety. If you do not agree to any provision herein, you must immediately cease use of all Assurd Services. Your continued use constitutes affirmative, informed consent to be bound by this Agreement and all policies incorporated herein by reference.

These Terms are published in compliance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

1. Definitions

For the purposes of this Agreement, the following terms shall carry the meanings ascribed to them below:

  • "Services" means all laboratory inspection, forensic analysis, VBIOS cryptographic verification, thermal benchmarking, Digital Certificate issuance, public registry publication, and logistics facilitation offered by Assurd, as may be updated from time to time.
  • "Hardware" means the pre-owned computer component (including but not limited to Graphics Processing Units) physically submitted by the Customer to Assurd for the purpose of obtaining a Digital Certificate.
  • "Assurd HQ Lab" means a laboratory facility directly owned, operated, and staffed by Assurd Techlabs (OPC) Private Limited, and the sole authority empowered to issue Digital Certificates.
  • "Certification Request" means the structured telemetry package, photographic triage data, and VBIOS forensic records assembled during the execution of Assurd SOPs, requesting that Assurd evaluate and, where appropriate, issue a Digital Certificate for the specified Hardware unit.
  • "Digital Certificate" means the cryptographically-signed, time-stamped electronic document generated and issued exclusively by Assurd HQ upon successful validation of a Certification Request, containing the Hardware's performance telemetry, VBIOS hash, thermal data, and physical inspection results, and published to the Assurd Global Registry. No entity other than Assurd HQ has the authority to generate, sign, or publish a Digital Certificate.
  • "Assurd Global Registry" or "Registry" means the permanent, publicly accessible ledger maintained exclusively by Assurd HQ that records the forensic history of certified Hardware by serial number.
  • "Certification Fee" means the all-inclusive fee paid by the Customer at the time of booking for the full execution of Assurd's forensic audit and issuance pipeline, irrespective of the outcome of that pipeline.
  • "Customer Condition Declaration" or "CCD" means the mandatory pre-submission disclosure form completed by the Customer at the time of booking, in which the Customer declares the physical, functional, and legal status of the Hardware to the best of their knowledge and belief.

2. Nature and Scope of Services

Assurd operates exclusively as an Independent Certification Authority and Forensic Laboratory. Assurd is not, and shall not be construed as, a retailer, e-commerce marketplace, broker, reseller, intermediary for sale, or custodian of Hardware for any commercial purpose. At no point does Assurd acquire, hold, or transfer title or ownership of any Hardware submitted to it.

The physical execution of SOPs — including macro-photographic inspection, VBIOS extraction, and thermal benchmarking — is performed exclusively at Assurd facilities. The scope of Services delivered by Assurd is strictly limited to:

  • Receiving Hardware directly from Customers and validating Certification Requests processed at Assurd facilities.
  • Reviewing telemetry data, VBIOS forensic records, and photographic triage for completeness, internal consistency, and compliance with Assurd SOPs.
  • Issuing a Digital Certificate and publishing hardware telemetry to the Assurd Global Registry if and only if the Certification Request passes all validation thresholds.
  • Operating the Assurd Global Registry as the authoritative, immutable public ledger for certified hardware.

Assurd makes no representation, warranty, or guarantee that any Hardware submitted will achieve a passing grade. The Certification Fee compensates Assurd for the execution of the audit and issuance pipeline, not for the delivery of any specific outcome.

2A. Data Acquisition Programs and Reward Eligibility

Assurd may, from time to time, operate limited-duration research, validation, or data acquisition programs ("Programs") under which Customers may voluntarily submit Hardware for the purpose of expanding Assurd's internal validation datasets, benchmarking systems, or forensic models.

Participation in such Programs is strictly optional and subject to separate eligibility criteria, intake conditions, and operational constraints as may be communicated at the time of application.

2A.1 No Purchase or Consideration. Submission of Hardware under any Program does not constitute a sale, transfer of ownership, or commercial transaction. Assurd does not purchase Hardware from Customers under any circumstances.

2A.2 Discretionary Rewards. Assurd may, at its sole discretion, provide a monetary credit, discount, or other benefit ("Reward") to eligible participants upon successful completion of Program requirements. Rewards are not guaranteed and are contingent upon internal validation, quality thresholds, and Program-specific criteria.

2A.3 No Guaranteed Outcome. Participation in a Program does not entitle the Customer to receive any Reward. Failure to meet Program criteria, incomplete submissions, or disqualified Hardware shall not give rise to any claim for compensation.

2A.4 Non-Transferable Benefits. Any Reward issued is non-transferable, non-exchangeable, and may be subject to expiry or usage restrictions as specified by Assurd.

3. Digital Certificate: Sole Issuance Authority, Scope, and Limitations

An Assurd Digital Certificate constitutes a forensic, time-stamped attestation of the Hardware's operational health at the specific date and time of testing. The Certificate is an objective evidentiary record, not a financial instrument, guarantee, or warranty of any kind. Every Digital Certificate is issued exclusively by Assurd HQ through its validated issuance pipeline and carries the cryptographic signature of Assurd Techlabs (OPC) Private Limited.

3.1 Hybrid Issuance Pipeline. Assurd HQ operates a hybrid certificate issuance pipeline. Certification Requests that satisfy all algorithmic threshold checks within the Kairoscope validation engine are auto-issued without manual delay. Requests that trigger one or more anomaly detection flags are escalated to Assurd HQ's technical review team for manual assessment prior to issuance or rejection. In either case, the issuing authority is Assurd HQ exclusively. The Customer acknowledges that manual review may extend the processing timeline and does not constitute a breach of service by Assurd.

3.2 Temporal Limitation. The Digital Certificate is valid as a point-in-time representation only. Hardware is a complex electromechanical system subject to degradation, voltage fluctuation, mechanical shock, user error, driver conflicts, overclocking, and environmental factors entirely outside of Assurd's control. Assurd expressly disclaims any liability for the performance, degradation, or failure of Hardware after it has been returned to the Customer following successful certification.

3.3 No Warranty, No Insurance. The Digital Certificate does not constitute an extended warranty, product guarantee, or insurance policy. Assurd shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising from reliance upon a Digital Certificate for commercial purchase, sale, or valuation decisions. Any such reliance is made entirely at the risk of the relying party.

3.4 Aggregate Liability Cap. To the maximum extent permissible under applicable Indian law, Assurd's total aggregate liability to any Customer arising out of or in connection with any single certification engagement, regardless of the cause of action, shall not exceed the total Certification Fee actually paid by that Customer for the specific job in dispute.

3.5 Stress Testing and In-Pipeline Hardware Failure. The certification pipeline necessarily includes thermal saturation and sustained load tests that operate Hardware at or near its rated maximum thermal design power (TDP). There exists an inherent, non-negligible risk that Hardware in a pre-existing degraded or latently defective state may permanently fail during such testing. The Customer acknowledges and accepts this risk in full. A hardware failure occurring during legitimate stress testing conducted in conformance with Assurd SOPs shall not constitute negligence on the part of Assurd. Assurd shall not be liable for the replacement cost, residual value, or any consequential loss attributable to Hardware that fails during the execution of the agreed-upon forensic audit.

4. Permanence of Registry Data and Irrevocable Consent

By submitting Hardware and paying the Certification Fee, the Customer grants Assurd an irrevocable, perpetual, royalty-free, worldwide license to publish, display, and maintain the following data on the Assurd Global Registry:

  • The Hardware's serial number and model identifier.
  • VBIOS cryptographic hashes and firmware validation status.
  • All telemetric outputs of the benchmarking pipeline including thermal readings, clock frequencies, memory bandwidth, and performance percentile scores.
  • Macro-photographic condition imagery.
  • The resulting certification grade (Pass, Fail, or Conditional).

The Assurd Registry functions as a public anti-fraud ledger for the secondary hardware market and is maintained exclusively by Assurd HQ. Registry records are immutable by design. The Customer's right to personal data erasure under the Digital Personal Data Protection Act, 2023 does not extend to hardware telemetry and serial number records, which do not constitute "personal data" as defined under that Act. 5. Customer Obligations, Representations, and Consequences of Fraud

As a condition precedent to the acceptance of Hardware, the Customer shall complete and electronically execute the Customer Condition Declaration ("CCD") at the time of booking. By executing the CCD, the Customer represents and warrants to Assurd that:

  • The Customer is the lawful owner of the Hardware, or is an authorized agent of the lawful owner with explicit written authority to submit the Hardware for certification.
  • The Hardware has not been reported as stolen in any jurisdiction, is free from any liens, encumbrances, or third-party claims, and its submission does not violate any court order, contractual obligation, or applicable law.
  • All material information provided in the CCD regarding the Hardware's known physical condition, operational history, prior modifications, and declared model and specifications is true, accurate, and complete to the best of the Customer's knowledge.
  • The Hardware does not contain biologically hazardous materials, controlled substances, illegal components, or any substance that presents a safety or health risk to Assurd personnel.

Consequences of Fraudulent Submission

In the event that Assurd determines or reasonably suspects that the CCD has been materially misrepresented, Assurd shall be entitled to exercise any or all of the following remedies without prior notice:

  • Reject the Certification Request and quarantine the submitted Hardware.
  • Permanently flag the Hardware's serial number in the Assurd Global Registry with a "Fraudulent Submission" notation.
  • Deny any refund of the Certification Fee in its entirety.
  • Retain the Hardware for a reasonable period pending investigation or legal proceedings.
  • Initiate civil proceedings for recovery of damages including investigative costs, laboratory time consumed, and reputational harm.
  • Report the matter to relevant law enforcement under the Information Technology Act, 2000 and the Bharatiya Nyaya Sanhita, 2023.

5A. Research Use, Telemetry, and Data Processing

In addition to the Registry-related rights granted under Section 4, the Customer expressly acknowledges and consents that Hardware submitted under any Data Acquisition Program may be used for extended testing, validation, and internal research purposes.

  • Execution of additional benchmarking cycles beyond standard certification workflows.
  • Collection of expanded telemetry datasets, including edge-case or stress-condition performance characteristics.
  • Use of anonymized data for improving Assurd's validation models, detection systems, and scoring algorithms.

Such use shall not constitute a separate commercial exploitation of the Customer's Hardware and shall not entitle the Customer to any additional compensation beyond any explicitly defined Program Reward.

7. Payment, Taxes, and Financial Obligations

All Certification Fees are due in full at the time of booking confirmation and are processed through Assurd's RBI-authorized, PCI-DSS compliant payment gateway. Fees are quoted in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) where required by law. Assurd issues a GST-compliant tax invoice for all transactions. 7. Intellectual Property Rights

All intellectual property embodied in the Assurd platform, including but not limited to the Kairoscope software suite and portal, benchmarking methodologies, scoring algorithms, SOP documentation, the Assurd brand, trademarks, and the architecture and data schema of the Assurd Global Registry, is the exclusive property of Assurd Techlabs (OPC) Private Limited and is protected under the Copyright Act, 1957 and applicable trademark law. No Customer or third party is granted any license to use, reproduce, reverse-engineer, or create derivative works from any Assurd intellectual property, except as explicitly set forth in a separate written agreement signed by an authorized officer of Assurd.

8. Customer Indemnification

The Customer agrees to defend, indemnify, and hold harmless Assurd, its directors, officers, employees, and authorized agents from and against any and all claims, demands, suits, proceedings, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Any breach by the Customer of any representation, warranty, or obligation under these Terms, including any material inaccuracy in the Customer Condition Declaration.
  • The submission of Hardware to which the Customer does not hold clear legal title or authorization to submit.
  • Any third-party claim arising from a transaction involving Hardware certified by Assurd HQ based on information provided by the Customer.
  • Any misuse or misrepresentation of an Assurd Digital Certificate by the Customer in any commercial transaction.

9. Governing Law, Jurisdiction, and Dispute Resolution

These Terms shall be exclusively governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. The parties irrevocably submit to the exclusive jurisdiction of the competent courts of Pune, Maharashtra, India for the resolution of any dispute arising out of or in connection with these Terms, the Services, or any certification engagement. Prior to initiating formal legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of not less than thirty (30) days from the date of written notice of the dispute, served to legal@assurd.in.

10. Amendments and Severability

Assurd reserves the right to amend these Terms at any time with thirty (30) days' prior notice published on its official website. Continued use of the Services following the effective date of any amendment constitutes acceptance of the revised Terms. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
